2. Service Provider Disclaimer

2.1 Technology Platform Only

AECOS Insights operates exclusively as a technology service provider and software platform. We provide tools and infrastructure for document processing, analysis, and AI-powered insights. We explicitly disclaim:

  • Providing any form of professional advice (legal, financial, engineering, medical, tax, or consulting)
  • Guaranteeing the accuracy, completeness, or reliability of AI-generated content
  • Making decisions or recommendations on behalf of users
  • Offering services that require professional licensing or certification
  • Acting as a substitute for qualified professional consultation

2.2 Third-Party AI Services

Our platform integrates third-party AI services from providers including Google (Gemini), OpenAI (GPT), Anthropic (Claude), DeepSeek, xAI (Grok), and Perplexity. We do not:

  • Control, modify, or influence the outputs generated by these AI models
  • Guarantee the availability, accuracy, or performance of third-party AI services
  • Accept liability for errors, hallucinations, or inaccuracies in AI-generated responses
  • Warrant that AI services will meet specific user requirements or expectations

2.3 User Responsibility

Users are solely responsible for:

  • Verifying all AI-generated content before use
  • Seeking professional advice for legal, financial, or regulated matters
  • Ensuring compliance with applicable laws and regulations
  • Making informed decisions based on proper due diligence
  • Understanding the limitations and capabilities of AI technology

3. Limitation of Liability

3.1 No Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, reliability, or completeness of information
  • Warranties of uninterrupted, timely, secure, or error-free operation
  • Warranties regarding the quality or accuracy of AI-generated content

3.2 Exclusion of Damages

To the maximum extent permitted by Indian law, AECOS Insights shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from errors, inaccuracies, or omissions in AI-generated content
  • Damages arising from reliance on information provided through the Service
  • Unauthorized access to or alteration of your transmissions or data
  • Service interruptions, bugs, viruses, or technical malfunctions
  • Actions or inactions of third-party AI service providers
  • Decisions made based on AI-generated insights or recommendations

3.3 Liability Cap

In no event shall our total aggregate liability to you for all claims arising out of or relating to the Service exceed the amount actually paid by you to AECOS Insights in the 12 months immediately preceding the event giving rise to such liability. If you have not made any payments, our liability shall be limited to ₹1,000 (One Thousand Indian Rupees).

4. Indemnification

You agree to indemnify, defend, and hold harmless AECOS Insights, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any rights of another party
  • Content you upload, process, or share through the Service
  • Decisions made based on AI-generated content
  • Any claims that your use of the Service caused damage to a third party

5. Governing Law and Dispute Resolution

5.1 Applicable Law

This Agreement and your use of the Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The Information Technology Act, 2000, and the Consumer Protection Act, 2019, shall apply to the extent applicable.

5.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to this Agreement or the Service shall be instituted exclusively in the courts located in New Delhi, India. You irrevocably submit to the exclusive jurisdiction of such courts and waive any objection to proceedings in such courts on the grounds of venue or on the grounds that the proceedings have been brought in an inconvenient forum.

5.3 Dispute Resolution Process

In the event of any dispute, claim, or controversy arising out of or relating to this Agreement:

  1. The parties shall first attempt to resolve the dispute through good faith negotiation
  2. If negotiation fails within 30 days, the parties may attempt mediation
  3. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in New Delhi
  4. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996
  5. The language of arbitration shall be English
  6. Each party shall bear its own costs of arbitration

5.4 Consumer Rights

Nothing in this Agreement shall limit any statutory rights you may have as a consumer under Indian law, including rights under the Consumer Protection Act, 2019. You may have the right to approach the appropriate consumer forum for redressal of grievances.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All intellectual property rights in and to the Service, including but not limited to software, design, graphics, logos, text, algorithms, and documentation, are owned by or licensed to AECOS Insights. These rights are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and other applicable Indian intellectual property laws.

6.2 User Content License

You retain all ownership rights to content you upload to the Service. By uploading content, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

  • Store, process, and analyze your content to provide the Service
  • Generate embeddings and vector representations for search functionality
  • Send relevant context to AI providers to generate responses
  • Display your content back to you and authorized team members

7. Data Protection and Privacy

7.1 Compliance with Indian Law

We process personal data in accordance with the Information Technology Act, 2000, and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. We are committed to protecting your privacy and data security.

7.2 Data Storage and Processing

Your data is stored and processed as follows:

  • Primary data storage in secure cloud infrastructure
  • Encryption of data in transit and at rest
  • Processing of queries through third-party AI providers located globally
  • Retention of data as specified in our Privacy Policy

7.3 Cross-Border Data Transfer

By using the Service, you acknowledge and consent to the transfer of your data to third-party AI service providers located outside India, including but not limited to the United States. We ensure that such transfers comply with applicable data protection regulations and that adequate safeguards are in place.

8. Compliance and Regulatory Information

8.1 Applicable Regulations

Our Service is designed to comply with:

  • Information Technology Act, 2000
  • Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
  • Consumer Protection Act, 2019
  • Payment and Settlement Systems Act, 2007 (for payment processing)
  • Other applicable Indian laws and regulations

9. Severability and Waiver

9.1 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect.

9.2 Waiver

No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
